Terms of Service

These terms govern your use of Ping by SEAES — including Click-to-WhatsApp ads, WhatsApp Business automation, and the AI creative tools we provide.

1. Acceptance

By creating a Ping account, connecting a Meta account, or running an ad through Ping, you agree to these Terms of Service and to our Privacy Policy and WhatsApp Policy compliance page. If you are accepting on behalf of a business, you represent that you are authorized to bind that business.

2. What Ping is (and isn't)

Ping by SEAES is an independent software provider. We provide a platform that integrates with Meta's WhatsApp Business Platform and Marketing API. We are not an agent, reseller, or broker of Meta. We do not own any WhatsApp Business Accounts or ad accounts on your behalf — you own and control them directly with Meta.

Ping does not resell Meta API access. All ad spend is billed by Meta directly to your own ad account, against your own funding source. Ping charges a separate software subscription for the tooling, automation, and support we provide.

3. Your responsibilities when running ads

• You are solely responsible for the content of every ad you publish via Ping — copy, images, targeting, and landing destinations
• You must comply with Meta's Advertising Policies, the WhatsApp Business Policy, and all applicable laws (consumer protection, IT Act 2000, Consumer Protection Act 2019, DPDP Act 2023 in India)
• You must obtain clear consent from users before messaging them on WhatsApp, and provide opt-out
• You must not use Ping to send spam, harass, discriminate, promote illegal goods, or run deceptive ads
• You are responsible for the accuracy of any claims made in your ads

4. Meta ad rejections and account restrictions

Meta may reject, restrict, or disable your ads or ad account at any time based on their policies. Ping does not guarantee ad approval. If Meta takes action against your ad or ad account:

• Ping will surface the error inside the platform so you can see what Meta said
• You are solely responsible for fixing the underlying issue
• Ping will not refund software subscription fees on the basis of Meta policy decisions

5. AI image generation (Nano Banana)

Ping uses Google's Gemini 2.5 Flash Image ("Nano Banana") to generate ad creatives. By using this feature you acknowledge:

• Generated images are provided as-is. You must review them before publishing
• You are responsible for verifying the image does not contain trademarks, copyrighted characters, or content that violates Meta's Advertising Policies
• Ping prompts the model with policy-aware instructions (no faces, no logos, no text-in-image), but output is not guaranteed to be policy-compliant in every case
• Google's usage terms apply to the generation request; see ai.google.dev/terms

6. Indemnification

You agree to indemnify and hold harmless SEAES, its officers, employees, and partners from any claim, damage, or liability arising from:

• Content you publish through Ping
• Your breach of these Terms, Meta's policies, or applicable law
• Disputes between you and any third party (including Meta, end customers, or competitors)
• Tax obligations related to your ad spend

7. Service availability and Meta API dependency

Ping depends on Meta Graph API, WhatsApp Business API, and Gemini API. We do not guarantee uptime of any Meta or Google service. Ping targets 99% monthly uptime for our own platform but provides no SLA on third-party dependencies. We may also suspend features that Meta deprecates.

8. Payment and billing

Software subscription fees are billed monthly or annually via our payment gateway. Ad spend is billed separately and directly by Meta to your ad account. Refunds for software subscription are governed by our Refund Policy on seaes.ai.

9. Data ownership

You retain ownership of your contacts, messages, ad creative, and campaign data. Ping processes it on your behalf as a data processor. See our Privacy Policy for details.

10. Termination

You can cancel your Ping subscription at any time via the Settings page. On cancellation:

• Your Meta tokens are immediately wiped from our database
• Your contact and message data is retained for 30 days so you can export, then deleted
• Ad campaigns already running on Meta are not affected — they continue under your direct Meta control

We may suspend or terminate your account if you breach these Terms, Meta's policies, or the law.

11. Limitation of liability

To the maximum extent permitted by law, SEAES's aggregate liability for any claim arising from these Terms or your use of Ping is limited to the software subscription fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages, including lost profits or lost ad spend.

12. Governing law

These Terms are governed by the laws of India. Any dispute arising from these Terms is subject to the exclusive jurisdiction of courts in Nagpur, Maharashtra.

13. Changes

We may update these Terms. We will notify you by email for material changes. Continued use constitutes acceptance.
